By accessing or using the Porte Management Agency platform, website, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms apply to all users of the Services, including talent, agents, agency administrators, and brand partners.
Porte Management Agency ("PMA," "we," "us," or "our") provides an AI-powered talent management platform that facilitates:
The platform currently operates as an MVP (Minimum Viable Product) and features may change, be added, or removed at any time.
Certain areas of the platform — including investor preview environments — contain simulated or illustrative data. All figures, deal values, user profiles, and metrics shown in demo or preview contexts are fictional and provided solely to demonstrate platform functionality. They do not represent real individuals, transactions, or financial outcomes.
You must be at least 18 years of age to use the Services independently. Any individual under the age of 18 may only access the platform with the verified consent of a parent or legal guardian, and only through a PMA-authorized representative.
These Terms apply to all visitors and users of the platform, including talent, agents, agency administrators, brand partners, investors, and any person accessing the site for informational purposes.
By using the Services, you represent and warrant that you have the legal capacity to enter into these Terms.
Certain areas of the platform, including the public-facing website and investor information pages, are accessible without an account. Access to the full platform dashboard and management tools is granted by invitation or approval from PMA. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to notify PMA immediately at admin@porteagency.com of any unauthorized use of your account. PMA is not liable for any loss resulting from unauthorized access caused by your failure to secure your credentials.
Certain accounts are designated as demonstration or investor preview accounts. All data associated with these accounts is simulated and does not represent real individuals, transactions, or agreements. These accounts are provided solely for evaluation purposes.
PMA acts as a talent management agency and representative for talent who have entered into a formal representation agreement with PMA. Nothing in these Terms creates an agency or representation relationship absent a signed representation agreement.
All deals, contracts, and agreements negotiated through the platform are subject to separate signed agreements between the relevant parties. The platform facilitates but does not finalize legally binding agreements.
For college athletes utilizing NIL (Name, Image, and Likeness) features, you acknowledge that compliance with applicable NCAA, conference, and institutional rules is your responsibility. PMA provides compliance tracking tools as a convenience but does not guarantee compliance with any specific rule or regulation.
You agree to disclose all NIL activities to your institution as required by applicable rules, and to consult with your institution's compliance office before entering into any NIL agreement.
PMA charges a commission on deals negotiated and closed through the platform. Commission rates vary and are determined on a per-client basis at PMA's discretion. Any commission rate referenced within the platform — including within demo or preview environments — is provided for illustrative purposes only and does not constitute a binding offer or representation of applicable rates.
All applicable commission structures, rates, and fee arrangements will be disclosed in and governed by individually negotiated and executed representation agreements between PMA and each client. No rate or fee referenced anywhere on the platform or in any demo materials shall be construed as a standard or guaranteed rate.
Individual agent compensation is governed by separate internal agreements between PMA and its agents and is not disclosed in these Terms.
All platform content, technology, AI systems, design, trademarks, and branding are the exclusive property of Porte Management Agency, Inc. You may not reproduce, distribute, modify, or create derivative works from any platform content without express written consent from PMA.
Talent retain ownership of their name, image, likeness, and creative works. By using the platform, talent grant PMA a limited license to use their profile information and likeness solely for the purpose of facilitating introductions and deal opportunities within the platform.
The platform contains confidential business information including deal terms, financial data, and proprietary AI outputs. You agree not to disclose any confidential information obtained through the platform to third parties without prior written consent from PMA.
Investor preview access is granted under a confidentiality obligation. All MVP materials, platform architecture, and financial projections shared in the investor portal are strictly confidential.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. PMA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
PMA does not warrant the accuracy of any AI-generated outputs, deal recommendations, or compliance guidance. All platform outputs should be verified by qualified legal and financial professionals before being relied upon.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PMA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
PMA's total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of $100 or the amount you paid to PMA in the three months preceding the claim.
You agree to indemnify, defend, and hold harmless PMA and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
PMA reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
